1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Signalford, MB ("Company," "we," "us," or "our"). By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Description

Signalford provides software development and maintenance services, including but not limited to:

• Custom software development
• Software architecture and consulting
• System maintenance and support
• Technical consulting services
• AI-native solution development

3. User Obligations

By using our services, you agree to:

• Provide accurate, current, and complete information when requested
• Maintain the security of your account credentials (if applicable)
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or prohibited purpose
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorized access to our systems or networks

4. Service Agreements

Specific software development projects and services will be governed by separate written agreements between you and the Company. These Terms supplement, but do not replace, such project-specific agreements.

5. Intellectual Property Rights

5.1 Our Property

All content, features, and functionality on our website, including but not limited to text, graphics, logos, and software, are the exclusive property of Signalford, MB and are protected by international copyright, trademark, and other intellectual property laws.

5.2 Client Work Product

Intellectual property rights in custom software and deliverables created for clients will be addressed in project-specific agreements. Unless otherwise specified in writing, all work product remains the property of the Company until full payment is received.

6. Payment Terms

For services provided under project-specific agreements:

• Payment terms will be specified in project agreements
• Invoices are due within 30 days unless otherwise stated
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any service agreement.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that services will be performed in a professional and workmanlike manner. Specific warranties for deliverables will be outlined in project agreements.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN PROJECT AGREEMENTS, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALFORD, MB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Signalford, MB, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of our services or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend your access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Lithuania, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Lithuania.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Signalford, MB regarding the use of our services and supersede all prior agreements and understandings.
